Liability, indemnification and compensation EU Users

Indemnification and compensation

The User agrees to notify the Owner and its subsidiaries, affiliates, indemnify officers, directors, agents, co-burners, partners and employees from/against any claim or claim, including attorneys' fees and fees, of a third party as a result of or in connection with any culpable use of or connection to the Service, non-compliance with these Terms, infringement of third-party rights or violation of legal provisions by the User or its affiliates, officers, directors, agents, co-burners, partners and employees to the extent appropriately permitted by applicable law.

General provisions. No waiver of justice

The fact that the Owner fails to assert any right or provision under these Terms does not mean that this right or the relevant provision is waived. No waiver of rights shall be considered as a further or continued waiver of rights in respect of the relevant or any other provision.

Interruption of service

In order to ensure the best possible level of service, the Owner reserves the right to interrupt the Service for maintenance, system updates or other changes, with the Users being properly informed. Within the limits of the laws and regulations, the Owner may also decide to suspend or terminate the Service in full. If the Service is terminated, the Owner will work with Users so that they can withdraw their Personal Data or information in accordance with applicable law. In addition, the Service may not be available due to reasons beyond the Owner's reasonable control (such as force majeure, including employee actions, infrastructural failures or blackouts, etc.).

Resale of the service

Users are not permitted to reproduce, duplicate, copy, sell, resell or exploit this Website and the related service in whole or in part without the express prior consent of the Owner, which is provided directly or through an authorized resale program.

Transfer of the agreement

The Owner reserves the right to transfer, cede, transfer or subcontract rights or obligations under these Terms, taking into account the legitimate interests of the User. Provisions relating to amendments to these Terms shall apply mutatis mutandis. Users may transfer their rights or obligations under these terms and conditions in any way without the written consent of the Owner.

Severability

If any provision of these Terms is considered invalid or unenforceable under applicable law, the invalidity or unenforceability of this provision shall not affect the validity of the other provisions, which remain in full force and effect. EU-UsersIf any provision of these Terms is or is deemed void, invalid or unenforceable, the parties shall endeavour to amicably agree on valid and enforceable provisions replacing the void, invalid or unenforceable parts. In the absence of such failure, the void, invalid or unenforceable provisions shall be replaced by the applicable legal provisions, if permitted or indicated under applicable law. Without prejudice to the above, nullity, invalidity or impossibility to enforce a particular provision of these Terms shall not nullify the entire Agreement, unless the separate provisions are essential to the Agreement, or of such importance that the parties would not have entered into the agreement if they had known that the provision was not valid, or in cases where the remaining provisions would lead to an unacceptable disadvantage for one of the parties.

Toepasselijk recht

Op deze Voorwaarden is het recht van toepassing van de plaats waar de Eigenaar is gevestigd, zoals aangegeven in het betreffende onderdeel van dit document, waarbij collisieregels worden uitgesloten. Uitzondering voor Europese Consumenten. Ongeacht het bovenstaande echter, als de Gebruiker een Europese Consument is en in een land is gevestigd waar de wetgeving voorziet in een hogere norm voor consumentenbescherming, prevaleren deze hogere normen.

Applicable law

These Terms and Conditions are governed by the law of the place where the Owner is established, as indicated in the relevant part of this document, which excludes conflict of laws rules. Exception for European Consumers however, regardless of the above, if the User is a European Consumer and is located in a country where the legislation provides for a higher standard for consumer protection, these higher standards prevail. The courts of the place where the Owner is established, as indicated in the relevant part of this document, have exclusive jurisdiction to decide on disputes arising out of or in connection with these Terms. Exception for European Consumers The above does not apply to Users who are European Consumers, nor to Consumers established in Switzerland, Norway or Iceland.
